Algemene voorwaarden

1. Definities

– JAM-stables B.V.: de besloten vennootschap die uitsluitend paarden en pony’s verkoopt.

– Opdrachtgever/Koper: iedere natuurlijke of rechtspersoon die een overeenkomst aangaat met JAM-stables B.V.

– Overeenkomst: elke schriftelijke overeenkomst ondertekend door eigenaar A. Meijer.

– Paard: elk door JAM-stables B.V. aangeboden dier.

2. Toepasselijkheid

  1. Deze voorwaarden zijn van toepassing op alle overeenkomsten en handelingen van JAM-stables B.V.
  2. Algemene voorwaarden van koper worden uitdrukkelijk afgewezen.
  3. Koper verklaart uitdrukkelijk niet te handelen als consument in de zin van artikel 7:5 BW.
  4. Op alle overeenkomsten is uitsluitend Nederlands recht van toepassing.

3. Totstandkoming overeenkomst

  1. Een overeenkomst komt uitsluitend tot stand indien deze schriftelijk is bevestigd én ondertekend is door de eigenaar A. Meijer. Zonder deze handtekening is geen enkele afspraak geldig.
  2. JAM-stables B.V. is niet aansprakelijk voor toezeggingen door onbevoegden.

4. Betaling en levering

  1. Alle prijzen zijn exclusief btw. Mits anders aangegeven.
  2. Betaling binnen 7 dagen na factuurdatum.
  3. Indien een paard na goedkeuring niet binnen 7 dagen wordt afgenomen, is wettelijke (handels)rente verschuldigd.
  4. Incassokosten zijn voor rekening van koper.
  5. Transport gebeurt volledig voor risico van koper, ook indien uitgevoerd door derden.

5. Garantie, paardenverkoop, onderzoeksplicht en klachten

  1. JAM-stables B.V. verkoopt uitsluitend paarden en geen producten.
  2. Koper heeft een onderzoeksplicht en moet zelf gezondheid, karakter, gedrag en geschiktheid beoordelen.
  3. Koper moet voorafgaand aan aankoop:

– een nieuwe veterinaire keuring uitvoeren via een dierenarts naar keuze, of

– de bestaande röntgenfoto’s en informatie voorleggen aan zijn eigen dierenarts.

  1. Schriftelijke veterinaire goedkeuring door de dierenarts van koper is verplicht. Zonder deze goedkeuring wordt geen verkoop gesloten.
  2. Na deze goedkeuring aanvaardt JAM-stables B.V. geen aansprakelijkheid voor gebreken of problemen die na aankoop ontstaan.
  3. Koper heeft een mededelingsplicht om vooraf volledig te informeren over zijn niveau, ervaring en beoogd gebruik.
  4. Koper bevestigt dat hij voorafgaand aan de koop alle beschikbare informatie, documenten, röntgenfoto’s en veterinaire gegevens heeft ontvangen en heeft kunnen inzien.
  5. JAM-stables B.V. is niet verplicht tot retourname, annulering of herroeping.
  6. Het uitblijven van een klik, gewenning of match tussen koper en paard vormt geen grond voor ontbinding, schadevergoeding of retournering.
  7. Klachten moeten binnen 7 dagen schriftelijk worden gemeld.

6. Aansprakelijkheid, risico-overgang en uitsluitingen

  1. Paarden zijn levende wezens; JAM-stables B.V. geeft geen garanties over toekomstig gedrag, geschiktheid, prestaties of gezondheid. JAM-stables is dus niet aansprakelijk voor gedrags-, karakter- of prestatiewijzigingen die na levering ontstaan. Gedrag kan veranderen door training, omgeving en omgang.
  2. Zodra het paard geleverd of opgehaald is, gaat het volledige risico over op koper.
  3. JAM-stables B.V. garandeert niet dat een paard geschikt blijft voor een specifiek doel.
  4. JAM-stables B.V. is niet aansprakelijk voor verborgen gebreken die niet uit de veterinaire keuring van koper bleken.
  5. JAM-stables B.V. is niet aansprakelijk voor letsel of schade tijdens bezichtigingen, proefritten of omgang op het terrein. Dit is volledig eigen risico van koper.
  6. Alleen schriftelijke informatie is bindend; mondelinge uitingen zijn niet gegarandeerd.

7. Overmacht

JAM-stables B.V. kan haar verplichtingen opschorten of ontbinden bij overmacht zonder aansprakelijkheid.

8. Eigendomsvoorbehoud

Paarden blijven eigendom van JAM-stables B.V. totdat volledig betaald is.

9. Beëindiging

JAM-stables B.V. kan de overeenkomst beëindigen bij niet-nakoming.

10. Toepasselijk recht en geschillen

Uitsluitend Nederlands recht is van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement van JAM-stables B.V.

11. Slotbepalingen

Indien een bepaling ongeldig blijkt, blijven overige bepalingen van kracht.

 

General Terms and Conditions

1. Definitions

– JAM-stables B.V.: the private limited company that exclusively sells horses and ponies.

– Client/Buyer: any natural or legal person entering into an agreement with JAM-stables B.V.

– Agreement: any written agreement signed by the owner, A. Meijer.

– Horse: any animal offered for sale by JAM-stables B.V.

2. Applicability

  1. These terms and conditions apply to all agreements and actions of JAM-stables B.V.
  2. Any general terms and conditions of the Buyer are expressly rejected.
  3. The Buyer expressly declares not to act as a consumer within the meaning of Article 7:5 of the Dutch Civil Code.
  4. All agreements are governed exclusively by Dutch law.

3. Formation of the Agreement

  1. An agreement is only concluded once it has been confirmed in writing and signed by the owner, A. Meijer. Without this signature, no agreement or commitment is valid.
  2. JAM-stables B.V. is not liable for any promises or commitments made by unauthorized persons.

4. Payment and Delivery

  1. All prices are exclusive of VAT, unless stated otherwise.
  2. Payment must be made within 7 days of the invoice date.
  3. If a horse is not collected within 7 days after veterinary approval, statutory (commercial) interest becomes due.
  4. All collection and enforcement costs are payable by the Buyer.
  5. Transport is entirely at the Buyer’s risk, even if carried out by third parties.

5. Warranty, Horse Sales, Duty to Investigate and Complaints

  1. JAM-stables B.V. exclusively sells horses and does not sell products.
  2. The Buyer has a duty to investigate and must independently assess the horse’s health, character, behaviour and suitability.
  3. Prior to the purchase, the Buyer must:

– arrange a new veterinary examination by a veterinarian of their choice, or

– submit existing X-rays and veterinary information to their own veterinarian for assessment.

  1. Written veterinary approval by the Buyer’s own veterinarian is mandatory. Without such approval, no sale is concluded.
  2. After this approval, JAM-stables B.V. accepts no liability for defects or issues arising after the purchase.
  3. The Buyer has a duty to disclose their experience level, intentions and the intended use of the horse.
  4. The Buyer confirms that they have received and reviewed all available information, documents, X-rays and veterinary records prior to the purchase.
  5. JAM-stables B.V. is not obliged to accept returns, cancellations or revocations.
  6. The absence of a “match”, bond or “click” between Buyer and horse cannot serve as grounds for dissolution, compensation or return.
  7. Complaints must be submitted in writing within 7 days after discovery.

6. Liability, Transfer of Risk and Exclusions

  1. Horses are living beings; JAM-stables B.V. provides no guarantees regarding future behaviour, suitability, performance or health. JAM-stables B.V. is not liable for behavioural, character or performance changes occurring after delivery. Behaviour may change due to training, environment or handling.
  2. Once the horse has been delivered or collected, all risks transfer fully to the Buyer.
  3. JAM-stables B.V. does not guarantee that a horse will remain suitable for any specific purpose.
  4. JAM-stables B.V. is not liable for latent defects that were not identified during the Buyer’s veterinary examination.
  5. JAM-stables B.V. is not liable for injuries or damages incurred during viewings, trial rides or handling on the premises; this is entirely at the Buyer’s own risk.
  6. Only written information is binding; verbal statements are not guaranteed.

7. Force Majeure

JAM-stables B.V. may suspend or terminate its obligations in the event of force majeure without any liability.

8. Retention of Title

Horses remain the property of JAM-stables B.V. until full payment has been received.

9. Termination

JAM-stables B.V. may terminate the agreement in the event of non-compliance by the Buyer.

10. Applicable Law and Disputes

Exclusively Dutch law applies. Disputes will be submitted to the competent court in the district where JAM-stables B.V. is established.

11. Final Provisions

If any provision is declared invalid, the remaining provisions shall remain in full force and effect.
